This End User Licence Agreement (“EULA”) is a legal agreement between you (“End-User” or “you”) and Black Bubble Solutions Ltd, 3rd Floor 86-90 Paul Street, London, United Kingdom, EC2A 4NE., (VAT: GB211590931) (“Licensor”, “we”, “us”, or “our”) for the Tipd mobile application and any updates thereto (the “Licensed Application” or “Tipd”).
By downloading or installing Tipd from Apple’s App Store or Google Play Store (together, the “Services”), you agree to be bound by this EULA. The Services are not parties to this EULA and have no obligations regarding the Licensed Application (including warranty, liability, maintenance, or support). The Licensor alone is responsible for Tipd and its content.
This EULA will not conflict with the Apple Media Services Terms and Conditions or the Google Play Terms of Service (the “Usage Rules”).
Tipd is software designed to provide a way for customers to tip directly without using cash. It is customised for iOS, macOS, and Android devices (“Devices”) and is used to onboard users through AML/KYC requirements and to create a shareable profile QR code.
2.1 We grant you a non-transferable, non-exclusive, non-sublicensable licence to install and use Tipd on Devices you own or control, as permitted by the Usage Rules. Tipd may also be accessed by other accounts associated with you via Family Sharing or volume purchasing where supported.
2.2 This EULA governs any updates that replace, repair, or supplement Tipd, unless a separate licence applies to a specific update.
2.3 You must not share, sell, rent, lend, lease, or otherwise redistribute Tipd to third parties (except as permitted by the Usage Rules and with our prior written consent).
2.4 You must not reverse engineer, translate, disassemble, decompile, remove, modify, adapt, create derivative works of, or attempt to derive the source code of Tipd or any part of it (except with our prior written consent).
2.5 Except as expressly authorised by this EULA and the Usage Rules, you must not copy or alter Tipd. You may create and store backup copies only on Devices you own or control, and you must not remove any intellectual property notices. If you sell or transfer a Device, you must remove Tipd first.
2.6 Attempts to violate these obligations may result in prosecution and damages.
2.7 We may modify this EULA from time to time. Your continued use of Tipd after any changes constitutes acceptance of the updated terms.
2.8 When using Tipd you must also comply with all applicable third-party terms and conditions.
3.1 Tipd requires operating system/firmware version 1.0.0 or higher. We recommend using the latest version.
3.2 We may update Tipd to remain compatible with modified/new OS versions and hardware, but we are not obligated to provide such updates.
3.3 You are responsible for ensuring your Device meets the technical specifications.
3.4 We may modify technical specifications at any time.
4.1 We are solely responsible for maintenance and support for Tipd. Our contact details appear in the app store listing and in Section 12 below.
4.2 The Services have no obligation to provide any maintenance or support for Tipd.
We may access your downloaded Tipd content and personal information. Our use of such material is subject to our legal agreements with you and our Privacy Policy: https://www.tipd.co/privacy.
We may periodically collect technical and related information about your Device, system, application software, and peripherals to provide support, facilitate updates, and improve products/services, provided such information is used in a form that does not personally identify you unless otherwise permitted by law and our Privacy Policy.
Tipd may allow you to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content (“Contributions”), which may be visible to other users or via third-party sites/apps. Contributions may be treated as non-confidential and non-proprietary. By making Contributions, you represent and warrant that:
Any breach of the above may result in suspension or termination of your rights to use Tipd.
By posting Contributions in Tipd or making them accessible to Tipd (e.g., by linking your social accounts), you grant us an unrestricted, worldwide, perpetual, irrevocable, transferable, royalty-free, fully-paid, non-exclusive licence to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly display, reformat, translate, transmit, excerpt (in whole or part), distribute, and prepare derivative works of your Contributions (including your image and voice), and to grant and authorise sublicences of the foregoing, in any media now known or later developed, for any purpose (including commercial or advertising). You waive all moral rights in your Contributions.
We do not claim ownership of your Contributions, and you retain all ownership and intellectual property rights in them. You remain solely responsible for your Contributions. We may, at our discretion: (1) edit, redact, or change any Contributions; (2) recategorise them; and/or (3) prescreen or delete them at any time for any reason, without notice. We are not obligated to monitor Contributions.
8.1 Our liability for breaches of duty or tort is limited to intent and gross negligence. For breaches of essential contractual duties (cardinal obligations), we are also liable for slight negligence, but only for foreseeable, contract-typical damages. These limitations do not apply to injury to life, limb, or health.
8.2 We are not liable for damages arising from breaches of Section 2. You should use available backup functions to avoid data loss. If Tipd is altered or manipulated, access may be denied.
9.1 We warrant that Tipd is free of spyware, trojans, viruses, and other malware at the time of download and that it performs as described in the user documentation.
9.2 No warranty applies if Tipd is not executable on your Device due to unauthorised modification, improper handling, inappropriate hardware/software/accessories, or other reasons outside our control affecting executability.
9.3 You must inspect Tipd immediately after installation and notify us without delay of any issues via the email in Section 12. Reports must be emailed within thirty (30) days of discovery.
9.4 If we confirm a defect, we may remedy it by fixing the defect or providing a substitute delivery.
9.5 If Tipd fails to conform to an applicable warranty, you may notify the relevant store operator and obtain a refund of the purchase price (if any). To the maximum extent permitted by law, the store operator has no other warranty obligations regarding Tipd and is not liable for additional losses.
9.6 If you are an entrepreneur, warranty claims expire twelve (12) months after Tipd was made available. Statutory limitation periods apply to consumers.
We, not the Services, are responsible for addressing any claims by you or third parties relating to Tipd or your possession and/or use of Tipd, including: (i) product liability; (ii) non-conformity with legal or regulatory requirements; and (iii) claims under consumer protection, privacy, or similar laws (including, where applicable, in connection with HealthKit/HomeKit use).
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist-supporting” country and that you are not listed on any U.S. Government list of prohibited or restricted parties.

This EULA is effective until terminated by you or us. Your rights will terminate automatically, without notice, if you fail to comply with any term of this EULA. Upon termination, you must stop all use of Tipd and destroy all copies, in whole or in part.
We will comply with applicable third-party terms when using Tipd. In accordance with the Services’ developer requirements, Apple and Google (and their subsidiaries) are third-party beneficiaries of this EULA and, upon your acceptance of it, they will have the right to enforce this EULA against you as third-party beneficiaries.
If a third party claims that Tipd or your possession and use of it infringes their intellectual property rights, we—not the Services—are solely responsible for the investigation, defence, settlement, and discharge of such claims.
This EULA is governed by the laws of the United Kingdom, excluding its conflict-of-law rules. Mandatory consumer protections of your country of residence may also apply.
17.1 Severability. If any term of this EULA is or becomes invalid, the remaining provisions remain in force. The invalid term will be replaced by a valid one that best achieves the original purpose.
17.2 Entire Agreement; Changes in Writing. Collateral agreements, changes, and amendments are valid only if in writing. Any waiver of this clause must also be in writing.
